Item 5.07(a) and (b) Submission of Matters to a Vote of Security Holders.
On August 5, 2015, Orion Energy Systems, Inc. (the “Company”) held its 2015 annual meeting of shareholders. As of the June 10, 2015 record date for the determination of the shareholders entitled to notice of, and to vote at, the annual meeting, 27,551,188 shares of common stock were outstanding and entitled to vote, each entitled to one vote per share. Approximately 89% of all votes were represented at the annual meeting in person or by proxy. At the annual meeting, the Company’s shareholders voted on the following proposals:
Proposal One: To elect three Class II directors, Mark C. Williamson, Michael W. Altschaefl and Anthony L. Otten, to serve until the 2018 annual meeting of shareholders and to elect one Class III director, Tryg C. Jacobson, to serve until the 2016 annual meeting of shareholders, in each instance until their successors are duly elected and qualified. In accordance with the voting results listed below, each of the nominees were elected to serve as directors.
