Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On May 6, 2013, Meritor, Inc. (“Meritor”) was given notice by Brett Penzkofer of his resignation as Controller, which is the principal accounting officer, effective May 10, 2013. Until a successor is elected, Mr. Penzkofer's duties will be assumed by Kevin Nowlan, Senior Vice President and Chief Financial Officer.

Mr. Penzkofer leaves Meritor to assume a senior leadership role at Transtar Industries, Inc.
