Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On February 5, 2018, Heat Biologics, Inc. (the Company) received written notice (the February 5, 2018 Notification) from the Listing Qualifications Department of The NASDAQ Stock Market LLC (NASDAQ) that it had regained compliance with the NASDAQs Minimum Bid Price Requirement (as defined below).
As previously reported, on March 15, 2017, the Company received written notice from the NASDAQ notifying the Company that for the preceding 30 consecutive business days (January 31, 2017 through March 14, 2017), the Companys common stock did not maintain a minimum closing bid price of $1.00 per share (Minimum Bid Price Requirement) as required by NASDAQ Listing Rule 5550(a)(2). The notice had no immediate effect on the listing or trading of the Companys common stock and the common stock continued to trade on The NASDAQ Capital Market under the symbol HTBX.
NASDAQ notified the Company in the February 5, 2018 Notification that the NASDAQ had determined that for the last 10 consecutive business days (from January 22, 2018 through February 2, 2018), the closing bid price of the Companys common stock has been at $1.00 per share or greater. Accordingly, the Company has regained compliance with the Minimum Bid Price Requirement as required by NASDAQ Listing Rule 5550(a)(2), and this matter is now closed.
