Item 1.01 Entry into a Material Definitive Agreement.
On January 17, 2019, CACI International Inc (the “Company”) entered into an Incremental Facility Amendment (the “Incremental Facility”) by and among the Company, certain subsidiaries of the Company, the lenders named therein and Bank of America, N.A., as administrative agent, pursuant to the accordion feature available under the Company’s Credit Agreement, dated October 21, 2010, by and among the Company, certain subsidiaries of the Company, the lenders named therein and Bank of America, N.A., as administrative agent, swing line lender and letter of credit issuer (as amended, restated and modified from time to time prior to the date hereof, the “Credit Agreement”).
The Incremental Facility increases the aggregate commitments under the Company’s revolving credit facility by $400.0 million. All other terms and provisions of the Credit Agreement remain the same and are in full force and effect.
