Appointment of Principal Officers

(b) On December 14, 2004, John L. Schroeder, resigned effective
January 1, 2005, as director. Also, on December 16, 2004, Aaron I.
Fleischman, resigned effective January 1, 2005, as director.
Director Andrew N. Heine has also notified the Company of his
intention to resign effective January 2005.
(d) On December 14, 2004, Lawton Fitt, was elected as director
effective January 1, 2005.
