Item 5.02.
Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On August 16, 2006, American Electric Power Company, Inc. (the “Company”) announced that among other organization changes, Holly K. Koeppel has been elected to the position of Chief Financial Officer of the Company effective September 1, 2006. Susan Tomasky has been the Chief Financial Officer of the Company since 2001, and has been reassigned to the position of Executive Vice President-Shared Services of the Company. Holly K. Koeppel is currently an executive officer of the Company, and information concerning her has been disclosed previously in the Company’s public filings.

A copy of the Company’s press release dated August 16, 2006, is attached hereto as Exhibit 99.1 and incorporated by reference.
