On December 8, 2005, Old Republic International Corporation announced that its
Board of Directors declared a special cash dividend of $1.00 per share of common
stock. The dividend is payable on December 30, 2005 to shareholders of record on
December 20, 2005. At the same time, the directors also declared a 25 percent
stock dividend on the Company's outstanding common stock. The additional shares
will be issued on or about December 30, 2005 to shareholders of record on
December 20, 2005.
