Item 5.02(b). Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective November 11, 2005, Frederick Doppelt resigned as a director of Perini Corporation (the “Company”) pursuant to the terms of the settlement of the class action lawsuit filed by holders of the Company’s $21.25 Preferred Stock (including Mr. Doppelt) which became final on October 24, 2005. Mr. Doppelt had been elected to serve on the Company’s board of directors by holders of the Company’s $21.25 Preferred Stock.
