Item 8.01. Other Events.
On September 24, 2009, The Brink’s Company (the “Company”) filed a shelf registration statement on Form S-3 (the “Form S-3”) covering the possible sale from time to time by The Brink’s Company Master Trust created under The Brink’s
Company Pension-Retirement Plan (the “Trust”) of the 2,260,738 shares of the Company’s common stock, par value $1.00 per share, that had previously been contributed to the Trust. The information set forth in Item 3.02 of the Company’s Current Report on Form 8-K filed on August 20, 2009 is incorporated herein by reference. The Form S-3 contains certain updated disclosures concerning the Company, including an update of the risk factors contained
in the Company’s Annual Report on Form 10-K for the year ended December 31, 2008 and Quarterly Report on Form 10-Q for the quarter ended June 30, 2009.
