(d) On January 11, 2017, the Board of Directors of First National Corporation appointed Mr. Boyce Brannock as director of the Company and its wholly-owned banking subsidiary, First Bank.
Mr. Brannock has been appointed to serve on the Trust and Asset Management Committee of the Board of Directors. Mr. Brannock will receive the same compensation as the other non-management directors receive, as described in the Registrant's definitive proxy statement filed with the Securities and Exchange Commission on April 1, 2016.
A copy of the press release announcing the appointment is attached as Exhibit 99.1 to this report.
