EXPLANATORY NOTE
On February 11, 2013, Wausau Paper Corp. (the “Company”) filed a Current Report on Form 8-K (the “Original Filing”) to report its results of operations during the fourth quarter ended December 31, 2012. The purpose of this amendment to the Original Filing is to correct certain references to 2011 net earnings that were contained in the Original Filing; these references did not properly account for the Company’s effective tax rate as a result of certain discontinued operations. The Company’s results of operations for the fourth quarter and fiscal year ended December 31, 2012, were correct in the Original Filing. The Item 2.02 disclosure below contains the corrected references.

Results of Operations and Financial Condition
On February 11, 2013, the Company reported a net loss from continuing operations, excluding certain nonrecurring items, of $1.5 million, or $0.03 per share, for the fourth quarter ended December 31, 2012, as compared with net earnings, excluding certain nonrecurring items, of $0.3 million, or $0.01 per diluted share, for the fourth quarter of 2011. Net sales for the fourth quarter decreased to $190.9 million from $203.0 million in 2011.
The Company also reported net earnings from continuing operations, excluding certain nonrecurring items, of $10.8 million, or $0.22 per share, for the fiscal year ended December 31, 2012, as compared with net earnings, excluding certain nonrecurring items, of $13.8 million, or $0.28 per diluted share, for the 2011 fiscal year.
