On May 30, 2006, Syms Corp. (the "Company") issued a press release announcing the results of its modified Dutch auction tender offer to purchase for cash up to 3,350,000 shares of its common stock, par value $0.05 per share, at a price not more than $18.00 nor less than $16.00 per share. Based on the final count by American Stock Transfer & Trust Company, the depositary for the tender offer, the Company will purchase 436,286 shares at $18 per share for a total cost of $7,853,148.
