Introductory Note
This report amends the current report on Form 8-K filed with the Securities and Exchange Commission on December 1, 2008 (the “Form 8-K”) to provide the exhibits and schedules to the agreement entered on November 24, 2008 by Chico’s FAS, Inc. (the “Company”) for a $55 million senior secured revolving credit facility (the “Credit Facility”) with a syndicate led by SunTrust Bank, as administrative agent (the “Agent”) and lender and SunTrust Robinson Humphrey, Inc. as lead arranger. The Credit Facility replaced the Company’s previous credit facility with Bank of America.
