Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of
Certain Officers; Compensatory Arrangements of Certain Officers.
(c) On March 23, 2010, the Company announced that its Board of Directors would be appointing
Harry Sladich as Executive Vice President Sales and Marketing, effective May 3, 2010. Mr.
Sladich has served as President and CEO of the Spokane Regional Convention & Visitors Bureau since
May 2005. Prior to that, he was Vice President, Sales and Marketing for Sterling Hospitality in
Spokane, Washington, where he was employed for five years.
(e) On March 23, 2010, the Compensation Committee of the Board of Directors of Red Lion
Hotels Corporation set the annual salary for Mr. Sladich at $165,000, effective May 3, 2010, and
approved granting Mr. Sladich restricted stock units under the Companys 2006 Stock Incentive Plan
valued at $24,750, effective May 3, 2010.
