     Synovus Financial Corp. (the “Registrant”) registers hereunder its Tangible Equity Units (the “tMEDS”), each with a stated amount of $25. For a description of the securities to be registered hereunder, reference is made to the information under the heading “Description of tMEDS” on pages S-54 through S-57 of the Registrant’s prospectus dated April 28, 2010 (Registration No. 333-166300) (the “tMEDS Prospectus”). Each tMEDS is a unit comprised of a prepaid stock purchase contract and a junior subordinated amortizing note.
