Item 8.01 Other Events
On August 20, 2010, Western Alliance Bancorporation (the “Company”) announced the pricing of
$75 million in aggregate principal amount of its Senior Notes due 2015. The notes will bear
interest annually at 10% and gross proceeds from the offering are expected to be approximately
$73.9 million. The Company anticipates that the offering will be completed on August 25, 2010 and
intends to use the proceeds for general corporate purposes, including purchasing nonperforming
assets from its bank subsidiaries and making capital injections into its bank subsidiaries. The
press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated
herein by reference.
