Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
2004 Stock Plan
     As described in Item 5.07, on July 26, 2011, at the 2011 annual meeting of stockholders of comScore, Inc. (the “Company”), the Company’s stockholders ratified amendments to the comScore, Inc. 2007 Equity Incentive Plan (the “2007 Plan”) primarily to, among other things, allow the Company to qualify awards granted thereunder as “performance-based” within the meaning of Section 162(m) of the Internal Revenue Code. The amendments were previously approved by the Company’s board of directors subject to the ratification of the Company’s stockholders at the 2011 annual meeting of stockholders.
     A summary of the 2007 Plan as well as a discussion of the changes implemented by the amendments ratified by the Company’s stockholders is set forth in the Company’s proxy statement filed with the Securities and Exchange Commission on June 10, 2011. The description of the 2007 Plan, as amended and restated, is qualified in its entirety by reference to the full text of the Amended and Restated 2007 Equity Incentive Plan, a copy of which is filed as Exhibit 10.1 to this Form 8-K and incorporated by reference herein.
Item 5.07.   Submission of Matters to a Vote of Security Holders.
     The annual meeting of stockholders of the Company was held on July 26, 2011. The following matters were voted upon:
1. Three Class I directors were elected to serve a three-year term expiring at the 2014 annual meeting of stockholders or until their successors have been elected and qualified. The three nominees receiving the largest number of affirmative votes cast representing shares of the Company’s common stock present and entitled to vote at the annual meeting were elected as Class I directors, by the following vote:
