Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) Election of Directors.

The Form 8-K filed by KBR on April 19, 2007 with respect to the election of Mr. Blount to the Board of Directors on April 17, 2007 is amended to correct the retainer fee to be paid to Mr. Blount for his service as the Chairman of the Nominating and Corporate Governance Committee, which will be $10,000 instead of the $5,000 originally reported.
