Item 2.02.   Results of Operations and Financial Condition
     On February 26, 2009, ION Geophysical Corporation (the “Company”) issued a press release containing information regarding the Company’s results of operations for the quarter and year ended December 31, 2008. A copy of the press release is furnished as Exhibit 99.1 hereto.
