Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 26, 2007, the Compensation Committee (the “Committee”) of the Board of Directors of Nuance Communications, Inc. (the “Company”) approved adjustments to the Company’s existing compensation arrangements with Steven Chambers in connection with his new role as the Company’s President, Mobility Division. The Committee approved an increase in Mr. Chamber’s base salary from $300,000 to $400,000 and an increase in his annual bonus opportunity from $200,000 to $250,000. The amount of target bonus actually paid to Mr. Chambers will be based on the achievement of certain individual performance objectives as approved by the Committee.
In connection with the new role, the Committee also approved an award of 200,000 restricted stock units to Mr. Chambers. 125,000 of the restricted stock units are subject to time-based vesting, with opportunities to accelerate the vesting of the restricted shares based on the achievement of performance targets. The remaining 75,000 shares of restricted stock are subject to performance-based vesting. The vesting of all shares of restricted stock are subject to Mr. Chamber’s continued employment with Nuance.
