Lampen, Executive Vice President and Special Counsel of the Registrant, owns 160,737 shares of Common Stock of the Registrant and holds options under the Amended and Restated 1999 Long-Term Incentive Plan to purchase an additional 121,550 shares of Common Stock of the Registrant at $12.70 per share.
