Explanatory Note
     This Current Report on Form 8-K/A is being filed by BFC Financial Corporation (“Company”) to amend and supersede the Current Report on Form 8-K filed on May 8, 2007.
Item 7.01. Regulation FD Disclosure
     The Company is furnishing presentation materials included as Exhibit 99.1 to this report pursuant to Item 7.01 of Form 8-K. The presentation materials were prepared to be included in presentations by Company management commencing in May 2007. The Company is not undertaking to update this presentation. The information in this report (including Exhibit 99.1) is being furnished pursuant to Item 7.01 and shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities of that section, nor shall it be deemed to be incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act.      The presentation materials contain information regarding the previously-announced proposed merger between Levitt and a wholly-owned subsidiary of BFC whereby Levitt would become a wholly-owned subsidiary of BFC. BFC and Levitt intend to file a definitive joint proxy statement and related materials concerning the merger and furnish the definitive joint proxy statement to their respective shareholders. Shareholders of BFC and Levitt are advised to read the joint proxy statement when it is finalized and distributed, because it will contain important information.
