Item 8.01. Other Events.
     On February 20, 2009, Post Apartment Homes, L.P., the operating partnership of Post Properties, Inc., issued a press release announcing the expiration and final results of its previously announced cash tender offer to purchase any and all of its outstanding 7.70% Notes due 2010 (the “2010 Notes”) and 5.125% Notes due 2011 (the “2011 Notes”). $84,495,000 in aggregate principal amount of the 2010 Notes, representing approximately 46% of the outstanding 2010 Notes and $90,363,000 in aggregate principal amount of the 2011 Notes, representing approximately 90% of the outstanding 2011 Notes, were validly tendered and not validly withdrawn in the tender offer. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference in its entirety.
