Section 5 — Corporate Governance and Management
Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of
Principal Officers.
5.02(b) Resignation of a Director.
On July 25, 2006, Michael S. Lipscomb resigned from the Board of Directors of SIFCO Industries, Inc. (“Company”), effective immediately. The resignation is not the result of any disagreement between Mr. Lipscomb and the Company on any matter relating to the Company’s operations, policies, or practices.
5.02(c) Appointment of a Director.
On July 25, 2006, the Board of Directors of the Company, upon the recommendation of the Governance Committee, voted to appoint Frank N. Nichols to the Board of Directors as an independent director to serve until his respective successors are duly elected and qualified.
Mr. Nichols will serve on the Board of Directors’ Compensation, Governance and Audit Committees. There are no arrangements or understandings between Mr. Nichols and any other person pursuant to which he was selected as a Director, nor are there any transactions between the Company and Mr. Nichols that are reportable under Item 404(a) of Regulation S-K.
