Item 1. Description of Registrant’s Securities to be Registered.

     Metretek Technologies, Inc., a Delaware corporation (the “Registrant”), hereby incorporates by reference the description of its Common Stock, par value $.01 per share, set forth in the section entitled “Description of Securities” in the Registrant’s Post-Effective Amendment No. 1 to, and Post-Effective Amendment No. 1 to Form S-3 on, Registration Statement on Form S-2 (File Nos. 333-116155 and 333-96369) filed with the Securities and Exchange Commission on April 14, 2005.

     The Company is filing this Registration Statement in connection with the transfer of the listing of its Common Stock from the American Stock Exchange to the NASDAQ Stock Market LLC, which is expected to become effective on August 22, 2007.

     On August 22, 2007, the Company will change its name to PowerSecure International, Inc.
