Item 7.01 Regulation FD Disclosure.

     PowerSecure International, Inc., a Delaware corporation (the “Company”), will present at the Roth OC Growth Stock Conference being held at The Ritz-Carlton Laguna Niguel in Dana Point, California on February 16, 2009, at 2:00 p.m., Pacific Standard Time. The Company’s presentation and participation at this conference will be led by Sidney Hinton, the President and Chief Executive Officer of the Company, and Christopher T. Hutter, the Vice President and Chief Financial Officer of the Company, and will include information about the business, operations, financial results, strategic initiatives and prospects of the Company.

     A copy of the press release issued by the Company on February 10, 2009 announcing the Company’s participation at the Roth OC Growth Stock Conference is filed herewith as Exhibit 99.1 and incorporated herein by this reference. The Company’s presentation to be used at the Roth OC Growth Stock Conference will be webcast live, and available thereafter on an archived basis.
