Pioneer Natural Resources Company Issues Notices of Full Redemption for Its 0.750% Senior Notes Due 2024 and 4.45% Senior Notes Due 2026

Pioneer Natural Resources Company (NYSE: PXD) (“Pioneer” or the “Company”) today announced that it has delivered notices of full redemption of all of its outstanding 0.750% Senior Notes due 2024 (the “2024 Notes”) and 4.45% Senior Notes due 2026 (the “2026 Notes”), having aggregate principal amounts of $750 million and $500 million, respectively. The redemption date for the 2024 Notes (the “2024 Redemption Date”) provided in the notice of full redemption is February 14, 2022, and the redemption date for the 2026 Notes (the “2026 Redemption Date”) provided in the notice of full redemption is February 24, 2022. The 2024 Notes will be redeemed at a redemption price of 100% of the outstanding principal amount of the 2024 Notes plus accrued and unpaid interest to the 2024 Redemption Date. The 2026 Notes will be redeemed at a redemption price of 100% of the outstanding principal amount of the 2026 Notes, plus the “make-whole” redemption premium specified in the indenture governing the 2026 Notes, plus accrued and unpaid interest to the 2026 Redemption Date.
