Audio Pixels raises A$6.8 million from Institutional and Accredited Investors

Audio Pixels Holdings Limited (ASX:AKP) and (OTC:APDXY), a leader in the digital transition of loudspeakers, is pleased to announce that it has completed a successful private placement of 1,034,847 ordinary shares at A$6.60 per share, raising A$6.8 million.

The lead investors in the private placement are industry veterans Benny Lau and Lee Lau, who previously founded and ran ATI Technologies, one of the world’s largest suppliers of graphic chips to the personal computer industry.

Initial discussions with the lead investors commenced in mid-February 2016 when the AKP share price was around A$7.00.

Fred Bart, the Chairman of Audio Pixels has agreed to subscribe for a further 151,515 ordinary shares at A$6.60 each raising a further A$999,999.00 via one of his controlled entities, subject to shareholder approval to be considered at the Annual General Meeting to be held on 31 May 2016.

The funds raised by the placement will support the company’s objectives of completing the fourth and final phase of its commercialization plan and commencement of the drive toward global adoption of its groundbreaking MEMS based digital speaker products.

Secondary Trading Exemption

The Corporations Act restricts the on-sale of securities issued without disclosure, unless the sale is exempt under section 708 or 708A. By the Company giving this notice, the sale of the Securities noted above will fall within the exemption in section 708A(5) of the Act.

The Company hereby notifies ASX under paragraph 708A(5)(e) of the Act that:

a) The Company issued the Securities without disclosure to investors under Part6D.2 of the Act;
b) as at 31 March 2016 the Company had complied with the provisions of Chapter 2M of the Act as they apply to the Company, and section 674 of the Act; and
c) as at 31 March 2016 there is no information:

i.) That has been excluded from a continuous disclosure notice in accordance with the ASX Listing Rules; and
ii) That investors and their professional advisers would reasonably require for the purpose of making an informed assessment of:

A. The assets and liabilities, financial position and performance, profits and losses and prospects of the Company; or
B. The rights and liabilities attaching to the securities.
